Equity Incentive.

Subject to the approval of the Board of Directors of the Company

at a meeting following your start date, you will be recommended for

an option to purchase 2,500 shares of Common Stock at an exercise

price equalto the closing price of the Company’s common stock

as reported on NASDAQ on the date of grant.

Your options shall be exercisable at the rate of 1/4 of the shares

one year after commencement of employment and 1/48 of the shares

each month thereafter(so that at the end of four years,

your option will be fully vested)
